Rent A Space Terms & Policies
The Facility, KOH Physical Therapy Inc., a California Corporation, agrees to provide the Renter with access to the physical therapy facility space on an hourly rental basis. The Renter intends to utilize the space for conducting their [specified practice] and must operate within their scope of practice while complying with all applicable laws and regulations.
Permitted Use & Restrictions
The space may be used only for the services disclosed at booking. Any unapproved use, subletting, or commercial activity outside the disclosed scope constitutes material breach, entitling the Facility to immediate termination and retention of prepaid credits only to the extent of actual damages (Civ. Code § 1671). The Facility will provide written notice of breach and a 3-business-day cure period unless the breach creates imminent risk to persons or property.
Credit Purchase Requirement
Renters purchase non-refundable, non-transferable credits in advance. The Renter agrees to purchase credits in advance, which will be applied toward the hourly rental of the space. Credits must be purchased prior to booking, are non-refundable, non-transferable, and valid for two years from the first date of use. Any unused credits after this period will be forfeited.
Credit Policies
Credits purchased by the Renter are valid for use within two years from the date of the first booking. After this period, any unused credits will be forfeited and are non-refundable. Additionally, credits are non-transferable and cannot be redeemed for cash.
Rental Period and Payments
The rental period begins and ends as mutually agreed upon. Payment for the rental and any associated credits must be made in full before use.
Facility Space and Rental Hours
The Facility will provide the Renter access to the following areas within the premises during the agreed-upon rental hours:
- Treatment Room: [to be specified].
- Reception Area: Waiting chair for guest [additional details to be specified].
- Open Gym: N/A.
Hours: Mon–Fri 9:00 a.m.–7:00 p.m.; Sat 9:00 a.m.–3:00 p.m. Access outside these hours requires separate written agreement and surcharge.
Rental Fee and Payment Terms
The Renter shall pay the Facility an hourly rental fee as agreed upon for utilizing the space. Payment is due in full before the rental period begins.
Security Deposit – California Compliant (Civ. Code § 1950.5)
A refundable security deposit of $1,000 is due before first use. The deposit may be used only for: (1) unpaid rent/credits, (2) cleaning beyond normal wear, or (3) repair of damage caused by Renter or invitees. Within 21 days after surrender of keys/access codes, the Facility will return the deposit or provide an itemized statement of deductions and refund of the balance. Interest is not required for deposits held <1 year.
Use, Cleanliness & Equipment Storage
Renter shall leave the space broom-clean and in the same condition as received, normal wear excepted. Renter may store pre-approved equipment only; submit an itemized list 48 hours before storage. The Facility may deny storage for safety, licensing, or space reasons. Stored items remain Renter’s property and must be insured by Renter.
Booking Cancellation Policy
To cancel a booking within the cancellation window, the Renter will automatically receive credit for the hours. Cancellations must be made directly within the booking system at least 3 days before the start of the booking. If outside the cancellation window, the Renter must contact rentalspace@kohpt.com & info@kohpt.com to modify or cancel. No credit will be issued for cancellations made outside the cancellation window.
Arrival Policy
Access begins 15 minutes before the booked start time. Early entry is prohibited to avoid overlap with prior renters (privacy & licensing compliance).
Additional Fees and Costs
The Renter is responsible for any additional fees or costs incurred during the rental period as outlined in this Agreement. After-hours access: $50/hour (pre-approved only). Excess cleaning: $75/hour
Liability after Expiration or Termination; Survival
The Renter remains liable for any past-due amounts, and the Facility may exercise its rights to collect payment despite termination or expiration of credits. Sections 1, 13, 15–19, 26, and the Annexes, along with all other provisions reasonably expected to survive, shall continue in effect after termination or expiration of this Agreement.
Supplies and Equipment
The Renter must confirm if they plan to leave any supplies, equipment, or materials in the rented space. A list of all items must be provided to the Facility for approval prior to storage. The Facility reserves the right to approve or deny storage of any items.
Maintenance and Cleanliness
The Renter agrees to maintain the cleanliness and condition of the space during the rental period. Any damage caused by the Renter will be deducted from the security deposit.
Facility’s Responsibilities
The Facility is responsible for:
- Providing access to the designated space during agreed-upon rental hours.
- Maintaining the space in good condition, including necessary repairs and maintenance.
- Furnishing basic utilities (e.g., electricity, water) during rental hours.
Renter’s Responsibilities
- Complying with all applicable laws, regulations, and licensing requirements related to their practice and services.
- Providing their own equipment, supplies, and tools necessary for conducting services.
- Securing their own liability insurance coverage for their practice and providing a copy to the Facility.
Liability
The Renter, along with any affiliated persons and guests, assumes all liability for injury or damage during the rental period. The Renter agrees to indemnify and hold harmless the Facility, its owner, rental space, and related employees from any liability, claims, or damages arising from use of the space.
Insurance Requirement
Proof of insurance (certificate + additional-insured endorsement) must be uploaded ≥48 hours before first booking. Failure voids the booking with no refund of credits used for that slot.
Termination and Notice
Either party may terminate with 30 days’ written notice. Facility may terminate immediately for: (1) license suspension, (2) material breach uncured after 3-day notice, or (3) illegal activity. Upon termination, Renter has 24 hours to remove belongings; storage fees accrue at $50/day thereafter.
Dispute Resolution – California Venue
Any dispute shall be resolved in the Superior Court of California, County of Orange (small claims if ≤$12,500). No mandatory arbitration (Civ. Code § 1670.8 preserves jury trial right). Prevailing party recovers reasonable attorney fees (Civ. Code § 1717).
Governing Law
This Agreement is governed by California law. Venue is exclusively Orange County.
Entire Agreement; Severability
This document (plus booking confirmation) is the full agreement. If any clause is unenforceable, the remainder remains valid. No oral modifications.
